Resolutions for Winding-up
PACIFIC SERVICES LIMITED
At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Mander House, Wolverhampton WV1 3NF, on 2nd February 1998, at 10.15 a.m., the following Resolutions were duly passed, as a Special Resolution and as Ordinary Resolutions respectively: “That the Company be wound up voluntarily, and that Anthony John Galloway, of BDO Stoy Hayward, Mander House, Wolverhampton WV1 3NF, be and he is hereby appointed Liquidator for the purposes of such winding-up, that the Liquidator exercise all powers contained in Part 1, Schedule 4, of the Insolvency Act 1986, that the Liquidator’s remuneration be fixed as a percentage of the assets realised and distributed and by reference to the time given by the Liquidator and his staff in attending to matters arising in the winding-up, and that the Liquidator is authorised to make distributions in specie.” A.
