Notice is hereby given that, on 24 October 2022, a Petition was presented to the Court of Session in Edinburgh (the "Court") by The Restaurant Group PLC, a public company which is registered in Scotland, under company number SC030343 and has its registered office at 1 George Square, Glasgow G2 1AL (the "Company"), seeking an order confirming the cancellation of its entire share premium account (the "Reduction"). The Reduction was approved by a special resolution of the Company passed on 24 May 2022.

On 28 October 2022, the Court ordered (i) that intimation of the Petition be made on the Walls in common form; (ii) that the Petition be advertised once in each of The Edinburgh Gazette, The Herald and The Times (English and Scottish editions); (iii) that Mr. Thomas Swan be appointed as the Reporter for the process and remits the process to him to enquire into the facts and circumstances set out in the Petition and on the regularity of the procedure; and (iv) that any person claiming an interest in the Reduction lodge Answers to the Petition, if so advised, at the offices of the Court, 2 Parliament Square, Edinburgh EH1 1RQ, within 21 days of the publication of the last of those advertisements. As the last of those advertisements is expected to be published on 4 November 2022, the deadline for lodging Answers to the Petition is expected to be 25 November 2022.

Any such person may wish to seek independent legal advice. In accordance with its practice, the Court may also consider any other objections which are made to it, in writing or in person, at the hearing of the Petition to confirm the Reduction. That hearing is expected to take place at the Court on a date to be confirmed but which is expected to be shortly after 25 November 2022.
