At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 21-23 Station Road, Gerrards Cross, Buckinghamshire SL9 8ES, on 27th July 1998, the following Extraordinary Resolution was duly passed:   That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up and that the Company be wound up accordingly and that Helen Timothe Phillips, of 21-23 Station Road, Gerrards Cross, Buckinghamshire SL9 8ES and N. S. Hill, of Cork Gully, Plumtree Court, London EC4A 4HT, be and they are hereby appointed the Joint Liquidators of the Company for the purposes of such winding-up.” J. McGarth, Director
