At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Carlton House, 33 Robert Adam Street, London W1M 5AH, on 24th July 1998, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that Peter Joseph Beirne, of KPMG Corporate Recovery, PO Box 730, 20 Farringdon Street, London EC4A 4PP, be and is hereby appointed Liquidator for the purpose of such winding-up.” M.
