Petition for Sanction of a Scheme of Arrangement

Notice is hereby given that on 31st May 2002 Semple Cochrane PLC (“the Company”) (a public company with its registered office at 14 William Street, Paisley, PA1 2NA) presented to the Court of Session in Edinburgh (“the Court”) a petition for the sanction of a scheme of arrangement dated 30th May 2002 (“the Scheme”) between the Company, the Public Ordinary Shareholders, the holders of the Bank of Scotland Ordinary Shares and the holders of the McCabe Shares (each as defined in the Scheme) and for confirmation of a reduction of capital.

On 4th July 2002 the Court pronounced an order that the petition should be advertised once in each of The Edinburgh Gazette, The Herald and The Financial Times newspapers and that any party claiming an interest be allowed to lodge Answers with the Court within 21 days of those advertisements.

A copy of the Scheme and of the statement explaining the effect of the Scheme required to be furnished pursuant to Section 426 of the Companies Act 1985 (“the Explanatory Statement”) has been posted to the Public Ordinary Shareholders, the holders of the Bank of Scotland Ordinary Shares, the holders of the McCabe Shares and the holders of outstanding options granted under the Semple Cochrane PLC 1996 Executive Share Option Scheme, the Semple Cochrane PLC 1998 Executive Share Option Scheme and the Semple Cochrane PLC Savings Related Share Option Scheme. Further copies of the Scheme and the Explanatory Statement may be obtained by any member of the Company from the registered office of the Company at 14 William Street, Paisley, PA1 2NA and from the offices of the Company’s legal advisers, Maclay Murray & Spens, at 10 Foster Lane, London, EC2V 6HR during normal business hours on any weekday (Saturdays, Sundays and public holidays excepted) until the Scheme becomes effective or lapses.

It is anticipated that the hearing of the Court to sanction the Scheme and confirm the reduction of capital will take place on 6th August 2002.
