NOTICE IS HEREBY GIVEN pursuant to Rule 14.28 of the Insolvency (England & Wales) Rules 2016 that the Joint Liquidators, intend to declare a first and final dividend to creditors of the companies within 2 months of the last date for proving on 24 January 2023

Creditors who have not yet proved, must send their full names and addresses (and those of their Solicitors, if any), together with full particulars of their debts or claims to the Joint Liquidators at PricewaterhouseCoopers LLP Central Square, 29 Wellington Street, Leeds LS1 4DL by 24 January 2023

If so required by notice from the Joint Liquidators, either personally or by their Solicitors, Creditors must come in and prove their debts at such time and place as shall be specified in such notice. If they default in providing such proof, they will be excluded from the benefit of any distribution made before such debts are proved.

The distribution may be made without regard to the claim of any person in respect of a debt not proved.

This proposed dividend is based on the current intention of a third party (the "Potential Purchaser") to acquire certain assets from the Companies (the "Potential Transaction"). The Companies and the Potential Purchaser have entered into binding sale documentation but completion of the Potential Transaction is subject to various conditions. It is necessary to ascertain the value of all claims against the Companies to identify whether one of these conditions can be met, for the purposes of establishing the amount of cash consideration to be paid by the Potential Purchaser and for distributing the proceeds of the Potential Transaction.

If the Potential Transaction does not complete, then the purpose of this NOID will not be achievable (as the Companies will not have received any realisations as a result of the Potential Transaction) and in that instance the intended dividend will not be able to proceed.
