At a general meeting of the Member of the above-named Company, duly convened, and held at 14 Bonhill Street, London, EC2A 4BX on 9 September 2024 at 1:15pm the following Resolutions were passed by the Member numbers 1 and 3 as Special resolutions and number 2 as an Ordinary resolution:

Resolutions:

i. "That the Company be wound up voluntarily" and

ii. "That Anthony Hyams and Kelly Knight, of Insolve Plus Ltd be appointed Joint Liquidators of the Company and they can act jointly or separately" and

iii. "That the Liquidator be authorised to distribute any of the company's assets in specie."
