Notice is hereby given that by application dated 16 November 2006, Brit Insurance Limited (“Brit”) applied to the High Court of Justice of England and Wales, for (inter alia) an order under section 111(1) of the Financial Services and Markets Act 2000 (the “Act”) sanctioning an insurance business transfer scheme (the “Scheme”) providing for the transfer of insurance business by Brit Insurance (UK) Limited (the “Transferor”) and for an order making provision under section 112 of the Act.

Copies of a report on the terms of the Scheme prepared by an Independent expert in accordance with section 109 of the Act (the “Scheme Report”) and copies of a statement setting out the terms of the Scheme and containing a summary of the Scheme Report may be obtained, free of charge, from Brit Insurance Limited, 55 Bishopsgate, London, EC2N 3AS, during normal office hours (ref: Ian D’Castro); fax +44(0)20 7984 8640; e-mail: ian.dcastro@britinsurance.com or may be downloaded from the website www.bntinsurance.com.

The application will be heard on 8 February 2007, before the Applications Judge at the Royal Courts of Justice, Strand, London WC2A 2LL. Any person (including an employee of Brit or the Transferor) who alleges that he or she would be adversely affected by the carrying out of the Scheme may appear at the time of the hearing in person or by Counsel. Any person who intends so to appear and any policyholder who dissents from the Scheme but does not intend to appear is requested to give written notice not less than 2 clear business days prior to the hearing of such intention or dissent and of the reasons for it to the Solicitors named below.
