BARCLAYS GROUP REORGANISATION ACT 2002

Notice is hereby given, pursuant to Section 5(1) of the Barclays Group Reorganisation Act 2002 (the “Act”) that:

1. 31 October 2007 is proposed to be an appointed day (“Appointed Day”) for the purposes of the Act in respect of the appointed undertaking described in paragraph 4.

2. Barclays Funds Limited (registered in England and Wales with registered number 589407) (“BFL”) is the proposed appointed transferor of the appointed undertaking.

3. Barclays Bank PLC (registered in England with registered number 1026167) (the “Company”) is the proposed appointed transferee of the appointed undertaking.

4. The appointed undertaking referred to in paragraph 1 in respect of which 31 October 2007 is proposed to be the Appointed Day consists of:

The whole of the business, property and liabilities of whatever nature, existing immediately before the Appointed Day, of BFL.
