At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Cherry Tree, Brough Sowerby, Kirkby Stephen, Cumbria, on 23rd December 1997, the following Special Resolution was duly passed:   “That the Company be wound up voluntarily, and that Arthur Charles Custance, of Armstrong Watson & Wood, 15 Victoria Place, Carlisle CA1 1EW, be and he is hereby appointed Liquidator for the purpose of such winding-up.” D.
