At an Extraordinary General Meeting of the above-named Company, duly convended, and held at 24 Conduit Place, London W2 1EP, on 16th December 1997, the subjoined Extraordinary Resolution was duly passed:   “That it has proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily, and that Ian Franses, of Ian Franses Associates, 24 Conduit Place, London W2 1EP, and Solomon Cohen, of Pitman Cohen, Great Central Avenue, South Ruislip, Middlesex HA4 6TS, be and are hereby appointed Joint Liquidators for the purpose of such winding-up.” M.
