Written record of a decision of the Sole Member of the Company taken pursuant to section 382B(1) of the Companies Act 1985 and sections 84(1)(b) and 91(1) of the Insolvency Act 1986, passing the following Special Resolutions:   “That the Company be wound up voluntarily, and that Gordon Christie, of Arthur Andersen, 199 St. Vincent Street, Glasgow, be and he is hereby appointed Liquidator for the purposes of such winding-up, and that the remuneration of the Liquidator be as specified in the terms of engagement in his letter of appointment.”
