Written record of a decision of the Sole Member of the Company taken pursuant to section 382B(1) of the Companies Act 1985 and sections 84(1)(b) and 91(1) of the Insolvency Act 1986 passing the following Resolution as a Special Resolution:   “That the Company be wound up voluntarily, and that Gordon Christie, of Arthur Andersen, 199 St. Vincent Street, Glasgow, be and he is hereby appointed Liquidator for the purposes of such winding-up, that the Liquidator be and he is hereby authorised to exercise any powers necessary to achieve an arrangement under section 110 of the Insolvency Act 1986, and that the remuneration of the Liquidator be as specified in the terms of engagement in his letter of appointment.” 6th January 1998.
