At an Extraordinary General Meeting of the above-named Company, duly convened, and held at ACN 053 531 212 Pty. Ltd. (formerly IEI Proprietary Limited), 15-17 Normanby Road, Clayton, Victoria 3168, Australia, on 16th January 1998, the following Special Resolution was duly passed:   “That the Company be wound up as a Members’ voluntary Liquidation, and that Colin Graham Bird, of Price Waterhouse, No. 1 London Bridge, London SE1 9QL, be and he is hereby appointed as its Liquidator.” M.
