At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 15 a Hallgate, Doncaster, South Yorkshire DN1 3NA, on 28th January 1998, the subjoined Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up, and accordingly that the Company be wound up voluntarily, and that Peter O’Hara, of Peter O’Hara & Co., Wesley House, Huddersfield Road, Birstall, Batley, West Yorkshire WF17 9EJ, be and is hereby appointed the Liquidator of the Company for the purposes of such winding-up.” P.
