At an Extraordinary General Meeting of the above-named Company, duly convened, and held on 2nd February 1998, at 10 a.m., the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Michael Ralph Eastwood Matthews, of Brooking, Knowles & Lawrence, Staple House, Staple Gardens, Winchester, Hampshire SO23 9EJ, be appointed as Liquidator of the Company for the purpose of such winding-up.” R.
