At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Woodland Dane, Gibraltar Lane, Hawkinge, near Folkestone, Kent CT18 7AE, on 31st March 1998, the following Special Resolution was duly passed:   “That the Company be wound up voluntarily and that Peter Anthony Hall, of Grant Thornton, 31 Carlton Crescent, Southampton SO15 2EW, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” J.
