At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Holiday Inn, Garden Court, Woolston Grange Avenue, Woolston, Warrington, Cheshire WA1 4PX, on Friday, 17th April 1998, the subjoined Resolutions were duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up voluntarily, and that the Company be wound up accordingly and that Richard Ian Williamson, of Campbell Crossley and Davis, 348-350 Lytham Road, Blackpool FY4 1DW, be and is hereby appointed the Liquidator of the Company for the purposes of such winding-up.” R.
