At an EXTRAORDINARY GENERAL MEETING of the Members of the above named company, duly convened and held at Tower 42, International Financial Centre, 25 Old Broad Street, London, EC2N 1HQ, on 19 December 2007, the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the company be wound up voluntarily and that Christopher Laughton and Steven Leslie Smith, both of Mercer & Hole, International Press Centre, 76 Shoe Lane, London EC4A 3JB, be and are hereby appointed Joint Liquidators for the purposes of such winding up.”
