The Insolvency Act and Rules 1986

Notice is hereby given that a general meeting of the Creditors of the Company will be held at Mariott Hotel, Garstang Road, Broughton, Preston PR3 5JB on 12 May 2011 at 12 noon. The meeting is called pursuant to Rule 4.54 of the Insolvency Rules 1986 for the purpose of enabling the Joint Liquidators to obtain creditors’ approval for the following resolutions:

1. The Joint Liquidators’ remuneration shall be fixed according to their time costs. These fees are to be paid at the Joint Liquidators’ discretion, as and when funds are available.

2. The Joint Liquidators be authorised to act jointly and severally in the Liquidation.

3. The Joint Liquidators be authorised to exercise powers granted by the Insolvency Act with sanction, namely:

• To compromise any debt owing to the Company or any claim against the Company;

•To bring legal proceedings in relation to fraudulent or wrongful trading, transactions at an undervalue, preferences or in relation to transactions defrauding creditors;

•To pay any class of creditor in full.

A proxy to enable a creditor to vote, must be lodged at the offices of CLB Coopers, 5th Floor, Ship Canal House, 98 King Street, Manchester M2 4WU not later than 12 noon on 11 May 2011 (day before meeting). The proxy form (and Statement of Claim if not already submitted) may be posted, or sent by fax to 0161 245 1001.
