Notice is hereby given that on 28 May 2015 in an application by Clydesdale Bank PLC (“the Company”), a public company incorporated under the Companies Act and with its registered office at 30 St Vincent Place, Glasgow, G1 2HL, an order was pronounced by the Court of Session, Edinburgh, (the “Court”) confirming (i) the reduction of the Company’s share capital by the cancellation of 337,500,000 B Shares of £1 each in the Company and (ii) the cancellation of its share premium account, which were approved by special resolutions of the Company dated 25 March 2015. A certified copy of that order was registered by the Registrar of Companies in Scotland on 28 May 2015, together with a statement of capital approved by the Court, under section 649(3)(b) of the Companies Act 2006.
