Notice is hereby given to the shareholders of SBEL in accordance with section 978(1)(c)(ii) of the Companies Act 2006 that:

a) by means of a formal offer document dated, published and delivered to SEBL’s shareholders on 21 December 2016 (together with the accompanying Form of Acceptance) (the “Offer Document”), ARL has made an offer to acquire the entire issued share capital of SEBL (the “Offer”); and

b) a copy of the Offer Document setting out the terms and conditions of the Offer and the accompanying Form of Acceptance are available for inspection by the shareholders of SBEL at the offices of Trethowans LLP, The Pavilion, Botleigh Grange Business Park, Hedge End, Southampton SO30 2AF from the date hereof until 6 January 2017.

The full terms and conditions of the Offer (including details of how the Offer may be accepted) are set out in the Offer Document. Terms defined in the Offer Document have the same meaning in this notice.

This notice does not constitute, and must not be construed as, an offer. SEBL shareholders who accept the Offer may rely only on the Offer Document for all the terms and conditions of the Offer.
