Notice is hereby given that the following resolutions numbered land 2 were passed on 1 October 2018, as special resolutions and resolutions numbered 3 and 4 as ordinary resolutions:

1 Since it is desirable to reconstruct the Company, that the Company be wound up voluntarily under the provisions of the Insolvency Act 1986 and for that purpose that Steven John Currie of Currie Young Limited, Alexander House, Waters Edge Business Park, Campbell Road, Stoke on Trent, ST4 4DB, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.

2 That a draft reconstruction agreement which;

2.1 has been produced to the meeting and signed for the purpose of identification by the Chairman; and

2.2 is expressed to be made by (1) The Company acting by the Liquidator (2) The Liquidator (3) John Moore Properties Limited ( 4) John Moore Trading Limited (5) Shirley Moore and Nicholas Moore and Sally Anne Moore and Margaret Moore be approved and that the Liquidator be authorised to implement an arrangement in accordance with section 110 of the Insolvency Act 1986, the detailed terms of which are set out in the above mentioned draft reconstruction agreement and that the Liquidator be authorised and directed to enter into and carry into effect the agreement in the form of the above mentioned draft on behalf of the Company in order to carry out the Section 110 Insolvency Act agreement.

3 That Currie Young Limited's fee of £2,500 plus VAT and disbursements as agreed with the directors be paid as an expense of the liquidation by the Liquidator if not discharged prior to his appointment.

4 The Liquidator's category 2 disbursements shall be payable on the basis of Currie Young Limited's published tariff disclosed to members.
