RESOLUTION

That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business, it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily, and that Ryan Kevin Grant and Lee Andrew Causer, Authorised Insolvency Practitioners, both of BDO LLP, Two Snowhill, Snow Hill Queensway, Birmingham, B4 6GA, are hereby appointed Joint Liquidators for the purpose of such winding-up, and are to act jointly and severally.
