- To approve that CLEVELAND INC., a company incorporated as per the laws of the Republic of Panama, registered under Folio number 29837 at the Panamanian Public Registry, be dissolved in accordance with the laws of the Republic of Panama.

- If dissolution is approved, to authorize the Panamanian Law Firm MORGAN Y MORGAN to protocolize and register the dissolution approval at the Panamanian Public Registry.
