"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure and that Kevin Brown (IP No. 17390) of ELS Advisory Limited, 31 Harrogate Road, Chapel Allerton, Leeds, LS7 3PD be appointed Liquidator for the purposes of the voluntary winding up of the Company and that he is authorised to act in this regard."
