Pursuant to section 10 of the Limited Partnerships Act 1907, notice is hereby given that, effective as of 29 September 2023, Mercer Infrastructure Select (the “Transferor”) transferred its entire interest in iCON Infrastructure Partners III, L.P. (the “Partnership”), a limited partnership registered in England and Wales with number LP016470, in the following percentages:

(a) 17.81% of its interest in the Partnership to StepStone (Luxembourg) SCA SICAV-RAIF – StepStone Private Infrastructure Fund;

(b) 18.75% of its interest in the Partnership to StepStone SL (GP), LLC as general partner of StepStone BV Opportunities Fund, L.P. - Series J

(c) 41.67% of its interest in the Partnership to StepStone PTS Infrastructure Secondary Opportunities Fund Holdings, L.P.; and

(d) 21.77% of its interest in the Partnership to Umbalti FBO Structure Cayman III LLC (collectively, the “Transferees”)

and that, with effect from such date, the Transferees became a limited partners in the Partnership in place of the Transferor.
