NOTICE IS GIVEN pursuant to Rule 15.13 of the Insolvency (England & Wales) Rules 2016 that a physical meeting of the creditors of the above named company will be held on 2 January 2024 at the offices c/o Freeths Solicitors, 1 Vine St, London W1J 0AH at 10.30 am. As a result of the requirement to hold this physical meeting the original decision procedure is terminated. The chair of the meeting has discretion to permit remote attendance at the meeting if such a request to do so is received in advance of the meeting.
Any creditor entitled to attend and vote at this physical meeting is entitled to do so either in person or by proxy. Creditors wishing to vote at the meeting must (unless they are individual creditors attending in person) lodge their proxy with the convener before they may be used at the meeting.
Unless there are exceptional circumstances, a creditor will not be entitled to vote unless his written statement of claim, (`proof`), which clearly sets out the name and address of the creditor and the amount claimed, has been lodged and admitted for voting purposes. Proofs must be delivered by 4pm the business day before the meeting.
Unless they surrender their security, secured creditors must give particulars of their security, the date when it was given and the estimated value at which it is assessed if they wish to vote at the meeting.
The purpose of the meeting is to propose the following resolutions;
1. That the Proposals of the Administrator be approved;
2. That a creditors committee will NOT be established;
3. That the Administrator`s pre-appointment costs for assisting with placing the Company into Administration
4. That the basis of the Administrator`s remuneration be approved;
5. That the Category 2 Expenses incurred by the Administrator be paid as an expense of the Administration
6. That the Administrator be discharged from liability arising from appointment 28 days after filing the final progress report
