Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that, on 22 July 2024, the following entities: (i) Cinven Capital Management (VIII) General Partner Limited acting in its capacity as general partner for and on behalf of Cinven Capital Management (VIII) Limited Partnership; and (ii) UK F8 General Partner, each transferred 100% of their general partner interest in Magnolia (No.1) Limited Partnership, a private fund limited partnership registered in England and Wales with number LP023701 (the “Partnership”) to the following entities: (i) Magnolia General Partner Limited acting in its capacity as general partner for and on behalf of Magnolia Limited Partnership; and (ii) Magnolia UK General Partner, respectively. Consequently on that date, Cinven Capital Management (VIII) General Partner Limited acting in its capacity as general partner for and on behalf of Cinven Capital Management (VIII) Limited Partnership and UK F8 General Partner each retired as general partner of the Partnership and were replaced as general partner by Magnolia General Partner Limited acting in its capacity as general partner for and on behalf of Magnolia Limited Partnership and Magnolia UK General Partner.
