Special Resolution

That the Company would be wound up voluntarily under Article 70(1)(b) of the Insolvency (Northern Ireland) Order 1989.

Ordinary Resolution

That Brigid Napier, Insolvency Practitioner of Napier & Sons Solicitors Limited be appointed Liquidator for the purpose of winding up the Company’s affairs and distributing its assets;

Special Resolution

That the Liquidator distribute in specie to the sole shareholder all or any part of the assets of the Company.

Ordinary Resolution

That the remuneration of the Liquidator for dealing with the matters arising in the Liquidation be calculated by reference to the time costs properly incurred by the Liquidator and her staff.
