The following resolutions were duly passed by way of written resolution as Special Resolutions and Ordinary Resolutions.

Special Resolutions

1. That the Company be wound up voluntarily.

2. That the Liquidator be authorised to divide among the members of the Company, in specie, part or the whole of the assets of the Company and may, for that purpose, value any assets and determine how the division between members should be carried out.

Ordinary Resolutions

1. That Jamie Playford of Leading, be and is hereby appointed Liquidator for the purposes of such voluntary winding up.

2. That the fee of Leading for the preparation of the Declaration of Solvency and members meeting documentation, the summoning of the meeting of members and advising the Company and its directors since the Company engaged Leading, be fixed at £1,500.00, including disbursements, plus VAT and that any outstanding balance be paid as an expense of the winding up.

3. The Liquidator`s remuneration shall be fixed by reference to the time properly given by the Liquidator and the staff in attending to matters arising in the liquidation. These fees are to be paid at the Liquidator`s discretion, as and when funds are available. The Liquidator`s disbursements shall be payable on the basis of the firm`s published tariff, disclosed to members prior to the meeting.
