At a general meeting of the Company held on 13 December 2024 the following resolutions were passed as a special resolution and an ordinary resolution respectively:

"That Atrato Onsite Energy plc (the "Company") be and is hereby wound up voluntarily pursuant to Section 84(1)(b) of the Insolvency Act 1986 and Derek Neil Hyslop (IP No. 9970) and Richard Barker (IP No. 17150) both of Ernst & Young LLP, 1 More London Place, London, SE1 2AF be and are hereby appointed as Joint Liquidators (the "Liquidators") of the Company for the purposes of such winding up and distributing the Company's assets and any power conferred on them by law, the articles of association of the Company or by this resolution and any act required or authorised under any enactment to be done by them may be exercised by them jointly or by each of them alone."
