At a general meeting of the Member of the above-named Company, duly convened, and held on 20 December 2024 at 2:00pm the following resolution, numbers 1 and 3 as Special resolutions and number 2, 4 and 5 as Ordinary resolutions: Resolutions:

i. "That the Company be wound up voluntarily" and

ii. "That Anthony Hyams and Kelly Knight , of Insolve Plus Ltd be appointed Joint Liquidators of the Company and they can act jointly or separately" and

iii. "That the Liquidators be authorised to distribute any of the company's assets in specie."
