At a general meeting of the Company, duly convened and held at Graham Smith Chartered Accountants, Cardrew Industrial Estate, Cardrew House, Redruth TR15 1SP on 16 January 2025, the following Resolutions were passed as Special Resolutions:

"That, subject to the passing of the resolution that the Company be wound up voluntarily under section 84(1)(b) of the Insolvency Act 1986 (the "Insolvency Act"), implementation of the arrangement (the detailed terms of which are set out in the attached reconstruction agreement to be entered into by the Company) be approved, in accordance with section 110 of the Insolvency Act."

"That, subject to the passing of the resolution that the Company be wound up voluntarily under section 84(1)(b) of the Insolvency Act, Samuel Adam Bailey and Jonthan David Trembath of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon, PL21 9AE (as the proposed liquidators of the Company) be authorised and directed to enter into and to carry out the arrangement (the detailed terms of which are set out in the reconstruction agreement to be entered into by the Company), in accordance with section 110 of the Insolvency Act."

"That the Company be wound up voluntarily."

"The Liquidators be authorised to divide among the members of the Company in specie part or the whole of the assets of the company and may for that purpose, value any assets and determine how the division between members should be carried out."

and as Ordinary Resolutions:

"That Samuel Adam Bailey and Jonathan David Trembath of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon, PL21 9AE, be appointed Joint Liquidators of the Company for the purposes of the voluntary winding-up."

"Any act required or authorised under any enactment to be done by a Joint Liquidator may be done by all or any of the persons for the time being holding such office."
