I, the undersigned being the sole member of the Company entitled to receive notice of and to attend and vote at Members’ Meetings, hereby pass the following written resolutions on 17 January 2025 which for all purposes shall be as valid and effective as if the same had been passed at a Members Meeting of the Company duly convened and held were passed as a special resolution and an ordinary resolution:

“That the Company be wound up voluntarily and that Gordon Mcintyre, of McLaren Insolvency Practitioners Ltd, 250 West George Street, Glasgow, G2 4QY, (IP No. 30830) be appointed as Liquidator of the Company.”
