Notice is hereby given by Resolution Real Estate Fund III-TE, L.P (the "Partnership") on or around 28 January 2025, pursuant to section 10 of the Limited Partnership Act 1907, that LRAF Holdings I, LP; Landmark Real Estate Partners VII Offshore PV I L.P; and Dynasty Acquisition Vehicle, L.P (each an "Assignor") have assigned their entire interest in the Partnership to Resolution III General Partner Limited (the "Assignee") pursuant to an agreement dated 27 January 2025 (the "Agreement"). As a result, each Assignor ceases to be a limited partner of the Partnership with effect from the date of the Agreement.
