At an Extraordinary General Meeting of the above named company, duly convened and held at Queen’s Island, Belfast, BT3 9DU on 18th February 2005 the following resolutions were passed: number 1 as a special resolution and number 2 as an ordinary resolution.

 1 “That the company be wound up voluntarily”

 2 “That Mr JWR Jackson of KPMG, Stokes House, 17/25 College Square East, Belfast, BT1 6DH, be and is hereby appointed liquidator for the purpose of such winding up.”
