At an EXTRAORDINARY GENERAL MEETING of the members of the above-named company, duly convened and held at Holiday Inn Express, 106 University Street, Belfast BT7 1HD on 1 November 2006 at 11.00 am the following EXTRAORDINARY RESOLUTION was duly passed:-

“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and that accordingly the company be wound up voluntarily.”

The following ORDINARY RESOLUTION was duly passed at the meeting:-

“That John Hansen of KPMG, Stokes House, College Square East, Belfast BT1 6DH be, and is hereby appointed liquidator of the company”.
