At an extraordinary general meeting of the above-named company convened and held at Water’s Edge, Clarendon Dock, Belfast, BT1 3BH on 2 February 2007 at 2.30 p.m., the following resolutions were passed:

1.	A Special Resolution 'that the Company be wound up voluntarily and John Hansen of KPMG, College Square East, Belfast, BT1 3BH be appointed liquidator of the company for the purposes of the voluntary winding-up”.
2.	An Extraordinary Resolution “that the liquidator be authorised to pay all creditors in full”.
