At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Sheraton Park Tower Hotel, 101 Knightsbridge, London SW1 7RN, on 19th December 1997, the subjoined Special Resolution was duly passed:   “That the Company be wound up voluntarily, and that Sara Elizabeth Dayman and Peter Richard Copp, of BDO Stoy Hayward, 8 Baker Street, London W1M 1DA, be and they are hereby appointed Liquidators of the Company for the purposes of such winding-up.” J.
