By Special Resolutions in writing taking effect as Special Resolutions, pursuant to section 381A of the Companies Act 1985, the subjoined Special Resolutions were duly passed:   “That on the recommendation of the Directors the Company be wound up voluntarily for the purposes of reconstruction, and that John Roger Hill and Martin Fishman, of Arthur Andersen, Abbots House, Abbey Street, Reading, Berkshire RG1 3BD, be and they are hereby appointed Joint Liquidators for the purpose of such winding-up (the Joint Liquidators) and that any act required or authorised under an enactment to be done by them, may be done by either or both of them.” Director
