CARTER SHORT TRADING LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 6 Lansdowne Mews, London W11 3BH, on 19th December 1997, the following Extraordinary Resolution was duly passed:   “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up, and that the Compapny be wound up accordingly, and that Liam Dowdall, of BDO Simpson Xavier, Simpson Xavier Court, Merchants Quay, Dublin 8, Ireland, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.”   At a Meeting of Creditors held on 31st December 1997, at the Clarendon Hotel, Blackheath, London S.E.3, the said appointment was confirmed.
