At an Extraordinary General Meeting of the above-named Company, duly convened, and held at International House, 1 St. Katharine’s Way, London E1 9UN, on 16th January 1998, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that Peter Joseph Beirne, of KPMG Corporate Recovery, PO Box 730, 20 Farringdon Street, London EC4A 4PP, be and is hereby appointed Liquidator for the purpose of such winding-up.” N.
