At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Chamber of Commerce and Industry for Bedfordshire and District, The Business Centre, Kimpton Road, Luton, Bedfordshire LU2 0LB, on Friday, 16th January 1998, the following Extraordinary Resolution was duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up voluntarily, and that Geoffrey Pollard, of Geoffrey Pollard & Co., 5 Coldbath Square, London EC1R 5HL, and Geoffrey Kinlan, of BDO Stoy Hayward, 8 Baker Street, London W1M 1DA, be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding-up.” D.
