VESEY THOMPSON DESIGN GROUP LIMITED

At an Extraordinary General Meeting of the above-named Company, convened, and held at 10 a.m., on 20th January 1998, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That the company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and that Michael Ralph Eastwood Matthews, of Brooking Knowles & Lawrence, Staple House, Staple Gardens, Winchester, be appointed as Liquidator of the Company for the purposes of such winding-up.” M.
