At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 1 and 2 Raymond Buildings, Gray’s Inn, London WC1R 5BZ, on Friday, 16th January 1998, the following Extraordinary Resolution and Ordinary Resolution was duly passed:   “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up, and that the Company be wound up accordingly, and that Shirley Angela Jackson, of BN Jackson Norton, of 1 and 2 Raymond Buildings, Gray’s Inn, London WC1R 5BZ, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.” C.
