At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Silloth, Carlisle, Cumbria CA5 4NU, on 6th February 1998, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Blair Carnegie Nimmo, of KPMG, 24 Blythswood Square, Glasgow G2 4QS, be and he is hereby appointed Liquidator for the purpose of such winding-up.” W.
