At an Extraordinary General Meeting of the above-named Company, adjourned from 9th February 1998, and duly convened, and held at William Morris House, No. 1 New Market Street, Birmingham B3 2NH, on 17th February 1998, the subjoined Extraordinary Resolution was duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Barry John Ward, of Smith & Williamson, William Morris House, No. 1 New Market Street, Birmingham B3 2NH, be and is hereby appointed Liquidator for the purposes of such winding-up.”   At a Meeting of Creditors adjourned from 9th February 1998, and held on 17th February 1998, at William Morris House, No. 1 New Market Street, Birmingham B3 2NH, the appointment of B.
