At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Pennant House, Salem Street, Etruria, Stoke-on-Trent ST1 5PR, on 16th February 1998, at 10.30 a.m., the following Resolution was duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Stephen Allen Clark, of Clark Lindsay Insolvency Practitioners, Apex Business Centre, Unit 1 a, Apex House, Stump Lane, Chorley PR6 0DE, be and is hereby appointed Liquidator for the purpose of such winding-up.” J.
