At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 36 Lynton Mead, Totteridge, London N20 8DJ, on 25th March 1998, at 11 a.m., the following Resolutions were duly passed, as a Special Resolution and an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that Richard A.
